DHFL and Reliance Capital Used the ‘Box System’ to Avoid Disclosure, says...

Over the past one year, the corporate world has been rocked by bankruptcies and huge liquidity crisis. This includes one of the country’s largest airline suspending operations, Rs10 lakh crore of bad loans, the disintegration of the Infrastructure Leasing & Financial Services (IL&FS) group and the Anil Ambani group and rapid demise of Dewan Housing and Finance Corp Ltd (DHFL). This had badly shaken the confidence in non-banking finance companies (NBFCs). How bad is the situation? A just released report by Risk Event-Driven and Distressed Intelligence (REDD) throws some light on the shenanigans of few very large NBFCs have been up to.

NBFCs & housing finance companies (HFCs) together constitute 19.20% of total credit extended by the Indian financial system. Typically, the NBFC sector services borrowers deemed too risky for commercial banks. However, there is an inherent flaw in the system; the NBFC sector gets majority of its funding from commercial banks and mutual funds. So something that was not doable directly by the banks, the same is being done through NBFCs as a vehicle.

To add to inherent instability, what is of greater concern is the malpractices as highlighted in the case DHFL, wherein the company was accused of being a vehicle to divert funds. The company used a new structure called as ‘box companies’, says REDD, to evade reporting of funds given to related entities. Using, the box system these companies have found an alternative way to rollover or ever-greening of loans. This is how the Box system works-
1. Say X owns an NBFC XYZ and wants to source funds from it. But the NBFC cannot give funds to X without disclosing the same as a related party transaction.
2. So X promotes three other companies- A, B and C, each with a capital of Rs1 crore. Company A, B and C have Rs1 crore in capital and Rs1 crore in cash each and are owned by X; thus are the related party for the NBFC XYZ.
3. Now, Company A buys 50% of company B and 50% of company C from X. The same is repeated by company B and company C. The end result of this is that, all the 3 companies A, B and C are now owned by each other and X has no ownership of any of these companies and has received back his initial Rs3 crore invested.
4. The company A, B and C now have Rs1 crore of capital and Rs1 crore in investments each.
5.  Now company A, B and C approach the NBFC XYZ for a loan. XYZ does not have to report these loans as related party transactions, as none of these companies is owned by X. But, in reality the real beneficiary of these companies is still X.
6. This way X has extracted money from the NBFC XYZ without having the NBFC to report the same. 
7. Next time, when these loans falls due, another box of companies will be created to fund the companies A, B and C loan repayment; thus effectively rolling over the loans.
Take the case of DHFL, on which a report by Cobrapost highlighted how the company using the box system avoided reporting to the exchanges on the sale of a 9.97% stake in the company. The companies forming the box in this case were Hemisphere, Galaxy and Silicon. The three box companies owned 31.1 million shares in DHFL as of March 2018.
All through the year, they sold the stock, disposing four million shares by the end of June and by September; their holdings had come down by another 7.65 million shares and did not appear in the register by March 2019.
REDD points out that Reliance Capital and its two affiliates, Reliance Home Finance and Reliance Commercial Finance, have engaged in similar kind of funding through box companies. The report indicates that the amount of loan outstanding to these box companies totals around Rs137 billion. REDD also provides details of three box structures of the Reliance ADAG.
The report further points out that, apart from using the box structure for pulling out funds for themselves by the promoters, some NBFCs may be using the same structure to ever-green the loans of each other.


Liquidity problems at Dewan Housing Finance Corporation Ltd (DHFL) and its reported failure this week to pay coupons highlight the funding challenges faced by India's non-banking finance sector, Fitch Ratings says.

"Issues in the non-banking financial companies (NBFCs) were already known to the market but DHFL became a focus point after the failure of Infrastructure Leasing & Financial Services Ltd (IL&FS) in September 2018," the ratings agency says, adding, "This also contributed to a sector-wide liquidity squeeze as investors became more risk averse. Indian NBFCs' liquidity is sensitive to market sentiment as their business models rely on short-term wholesale funding, which can dry up fast if market sentiment turns negative. Funding models of housing finance companies and NBFC loan companies, which have become increasingly reliant on short-term funding to fund longer-term assets, have been particularly affected by the liquidity squeeze."
According to the ratings agency, the liquidity pressures in NBFCs are in stark contrast to the banking sector, which has not faced significant liquidity pressure or deposit withdrawals, despite asset-quality and capital adequacy weaknesses.
The sector pressures have led India's top NBFCs to explore other sources of funding and to start positioning themselves to tap the US dollar bond market. "We expect Indian NBFIs to become more regular issuers in the offshore bond market as they seek to diversify their funding sources. If prudently managed, this should be credit positive as funding profiles are strengthened," Fitch says.
The funding squeeze has contributed to higher funding costs and a slowdown in loan growth for India's NBFC sector. NBFCs are an important channel for extending credit to the wider economy, given their extensive distribution networks, which are often more far-reaching across rural India than those of banks. The sector's role as a credit-provider became outsized as the Indian banking system was forced to deal with its weak asset quality. 
Banks, particularly public sector banks (PSBs), were undercapitalised and had limited capacity to lend more. NBFCs now account for nearly 20% of credit to the economy compared with about 15% five years ago.
Indian NBFCs fast loan growth in an environment of relatively benign interest rates was increasingly funded by short-term funding, in particular, commercial paper issued to the mutual fund sector. The banking system also is an important source of funding for NBFCs, driven in part by the regulatory push for banks to provide 'priority lending', with NBFCs being an important conduit for this.
Fitch says, "Both of these funding sources for NBFCs have become more risk-averse, which means that the sector is likely to face higher funding costs and a period of deleveraging, although the better-positioned NBFCs should still be able to achieve loan growth. The sector's reliance on short-term funding has reduced since late 2018 and some stronger NBFCs have shifted towards longer-term funding, such as term loans or negotiable certificates of deposit."
"We expect credit growth in India to remain slow, despite this week's interest-rate cut, as most banks are capital-constrained and NBFIs face tighter funding conditions," the ratings agency concluded.

എത്രയോ കാലമായുള്ള ഒരു മോഹം. മോഹസാഫല്യത്തിനുള്ള സ്ഥലം കൊൽക്കത്തതന്നെ. അവിടെയാണ‌് പുസ‌്തകങ്ങളുടെ മഹാസമുദ്രം. കൊൽക്കത്തയിലെ ബാലിഗഞ്ച‌് സർക്കുലർ റോഡിൽനിന്ന‌് യാത്രപുറപ്പെടുകയാണ‌്. തനി നാടൻ ബംഗ്ല ഭാഷയല്ലാതെ മറ്റൊന്നുമറിയാത്ത യുവാവാണ‌് സാരഥി. നാഷണൽ ലൈബ്രറിയിലേക്ക‌് വണ്ടിവിടണമെന്ന‌് പറഞ്ഞൊപ്പിച്ചു.

ലൈബ്രറിയുടെ മുന്നിലെത്തിയപ്പോൾ വണ്ടിയുടെ വേഗം കുറച്ച‌് ഡ്രൈവർ നോക്കി. ‘ഇതല്ലേ സ്ഥലം?’ അയാളുടെ കണ്ണിലെ ബംഗ്ലാ ചോദ്യം ഞാൻ തിരിച്ചറിഞ്ഞു. ‘വണ്ടി ഒതുക്കിവെച്ചോളൂ’ ഞാൻ ഇംഗ്ലീഷിൽ പറഞ്ഞു. മനസ്സിലായതുപോലെ അയാൾ തലയാട്ടി.
ഗേറ്റ‌്മാൻ ബാറ്റുകൊണ്ട‌് എന്റെ ശരീരമാകെ ഒന്ന‌് തഴുകി. എന്നിട്ട‌് ഒരു ഭാവഭേദവുമില്ലാതെ ഒന്നുമൂളി. മറ്റൊരാൾ എന്നെ പിന്തുടർന്നു. ‘തുമീ നാം രാജൻ’? ‘അതെ’
പിന്നെ പല ഘട്ടങ്ങൾ. പല വാതിലുകൾ... കോണിപ്പടികൾ... മുറികൾ.. ഇടനാഴികൾ... വിശാലമായ ഹാളുകൾ... വീതിയേറിയ വരാന്തകൾ. അങ്ങനെ മുപ്പതേക്കറിലോളം പരന്നുകിടക്കുന്ന ഗ്രന്ഥശേഖരത്തിന്റെ മഹാപ്രപഞ്ചം!

കൊച്ചുകോശി എന്ന മേധാവി

രണ്ടാംനിലയിലെ ഒരു മുറിക്ക‌ു മുന്നിലെത്തിയപ്പോൾ കൂടെയുള്ള ആൾ പറഞ്ഞു. ‘ഖോൽകരോ’ ഞാൻ വാതിൽ തുറന്നു. ഡോ. കെ കെ കൊച്ചുകോശി ചിരിച്ചുകൊണ്ട‌് എന്നെ സ്വാഗതം ചെയ‌്തു. നാഷണൽ ലൈബ്രറിയുടെ മേധാവി. ഇരിക്കുന്നതിനിടയിൽ ഒരു സ‌്ത്രീയെ വിളിച്ച‌് കോശി പറഞ്ഞു. ‘ദൊ ലാൽ ചായ‌്.’ എന്നെയുംകൂട്ടി നടക്കുന്നതിനിടയിൽ ഡോ. കൊച്ചുകോശി ലൈബ്രറിയുടെ ചിത്രവും ചരിത്രവും എനിക്ക‌് പകർന്നുതന്നു.
1836ൽ കൊൽക്കത്ത പബ്ലിക‌് ലൈബ്രറി സ്ഥാപിതമായതോടെയാണ‌് നാഷണൽ ലൈബ്രറിയുടെ ചരിത്രം ആരംഭിക്കുന്നത‌്. അന്ന‌് അതൊരു സർക്കാർ സ്ഥാപനമല്ല. ഒരു പ്രൊപ്രൈറ്ററി (proprietary) അടിസ്ഥാനത്തിലാണ‌ത‌് പ്രവർത്തിച്ചിരുന്നത‌്. മുന്നൂറ‌് രൂപ ഒറ്റത്തവണയായോ നൂറുരൂപവീതമുള്ള മൂന്നുതവണകളായോ പണമടയ‌്ക്കുന്നവർക്ക‌് പ്രൊപ്രൈറ്റർ സ്ഥാനം. ദരിദ്രവിദ്യാർഥികൾക്ക‌് നിശ‌്ചിത കാലയളവിലേക്ക‌് ഫീസ‌ില്ലാതെ ലൈബ്രറി ഉപയോഗിക്കാമായിരുന്നു.
പിന്നീട‌് ഗവർണർ ജനറൽ മെറ്റ‌്കാഫ‌് ഫോർട്ട‌് വില്യം കോളേജിൽനിന്ന‌് പുസ‌്തകങ്ങളുടെ ബൃഹദ‌്ശേഖരം പബ്ലിക‌് ലൈബ്രറിയിലേക്ക‌് മാറ്റി. പബ്ലിക‌് ലൈബ്രറിയുടെ ആദ്യ ഡയറക്ടർ ദ്വാരകാനാഥ‌് ടാഗോർ. ഇന്ത്യനും വിദേശീയവുമായ പുസ‌്തകങ്ങൾ ഇദ്ദേഹത്തിന്റെ ശ്രമഫലമായി വിലകൊടുത്ത‌് വാങ്ങി. ഗുജറാത്തി, മറാഠി, പാലി, പഞ്ചാബി, സിംഹള ഭാഷകളിലുള്ള പുസ‌്തകങ്ങൾ ശേഖരിച്ചാണ‌് തുടക്കം. സംഭാവനയായും അല്ലാതെയും. പത്തൊമ്പതാം നൂറ്റാണ്ടിന്റെ മധ്യത്തിൽ ഇത്രയും നന്നായും വൃത്തിയായും നടത്തിപ്പോന്ന ഒരു ലൈബ്രറി യൂറോപ്പിൽപോലുമില്ല.

ഇംപീരിയൽ ലൈബ്രറി

1891ൽ ആണ‌് ഇംപീരിയൽ ലൈബ്രറി സ്ഥാപിതമായത‌്. വിവിധ സെക്രട്ടറിയറ്റ‌് ലൈബ്രറികളെ ഏകോപിപ്പിച്ചാണ‌് ഇംപീരിയൽ ലൈബ്രറി സ്ഥാപിച്ചത‌്. ഈ ലൈബ്രറി സർക്കാർ സർവീസിലുള്ള മേലുദ്യോഗസ്ഥന്മാർക്കു മാത്രമായി നിയന്ത്രിക്കപ്പെട്ടിരുന്നു.
ഇരുപതാം നൂറ്റാണ്ടിന്റെ ആദ്യകാലത്ത് ഗവർണർ ജനറലായിരുന്ന കഴ്സൺ പ്രഭുവിന്റെ നിർദേശപ്രകാരം പൊതുജനങ്ങൾക്കായി പബ്ലിക് ലൈബ്രറി കൊൽക്കത്തയിൽ സ്ഥാപിതമായി. ഇതിനായി അദ്ദേഹം കൊൽക്കത്ത പബ്ലിക് ലൈബ്രറിയും ഇംപീരിയൽ ലൈബ്രറിയും ഒന്നിച്ച് ചേർത്തു. 1903 ജനുവരി 30ന് ഇംപീരിയൽ ലൈബ്രറി എന്ന പേരിൽ തന്നെ, കൊൽക്കത്തയിലെ മെറ്റ്കാഫ് ഹാളിൽ, പൊതുജനങ്ങൾക്കായി തുറന്നുകൊടുത്തു. മെറ്റ്കാഫ് ഹാൾ മുൻകാലങ്ങളിൽ ഗവർണർ ജനറൽമാർ താമസിച്ചിരുന്ന വീടാണ്. വെല്ലിങ്ടൺ, കോൺവാലീസ്, വാറൻ ഹോസ്റ്റിങ്സ് തുടങ്ങിയവരെല്ലാം താമസിച്ചതിവിടെ. ‘‘ഇത് ഒരു റഫറൻസ് ലൈബ്രറിയാണ്. ഇത് വിദ്യാർഥികൾക്ക് ഉപയോഗിക്കാനുള്ളതും ഭാവി ചരിത്രകാരന്മാർക്ക് ചരിത്രപഠനത്തിന് ഉപയോഗപ്പെടുത്താനുള്ളതുമാണ്’’ എന്ന് ഗസറ്റ‌് ഓഫ് ഇന്ത്യയിൽ രേഖപ്പെടുത്തുകയും ചെയ്തു. ലണ്ടനിലെ ബ്രീട്ടിഷ് മ്യൂസിയത്തിലെ അസിസ്റ്റന്റ‌് ലൈബ്രേറിയനായിരുന്ന ജോൺ മാക്ഫർലേൻ ഇംപീരിയൽ ലൈബ്രറിയുടെ ആദ്യ ലൈബ്രേറിയനായി. അദ്ദേഹത്തിന്റെ മരണശേഷം ബഹുഭാഷാപണ്ഡിതനായിരുന്ന ഹരിനാഥ് ഡേയും പിന്നെ ജെ എ ചാപ്മാനും. ചാപ‌്മാന്റെ കാലം ലൈബ്രറി വളർന്നു.
ലൈബ്രറിയുടെ ഉൾവശം

അശുതോഷ‌് മുഖർജി എന്ന ബംഗാൾ പുലി

‘ബംഗാൾ ബാഘ്’ (The tiger of Bengal) എന്ന് അറിയപ്പെട്ടിരുന്ന അശുതോഷ് മുഖർജി 1910ൽ ഇംപീരിയൽ ലൈബ്രറിയുടെ പ്രസിഡന്റ് സ്ഥാനത്തേക്ക് വന്നു. വിദ്യാഭ്യാസ വിചക്ഷണൻ, ഗണിതശാസ‌്ത്രജ‌്ഞൻ, എഴത്തുകാരൻ, സാംസ‌്കാരിക പ്രവർത്തകൻ, കൊൽക്കത്ത ഹൈക്കോടതിയിലെ ന്യായാധിപൻ, ഇരുപത്തിയാറിലേറെ ഭാഷകൾ അറിയുന്ന ജ‌്ഞാനി. മുഖർജിക്ക‌് വിശേഷണങ്ങൾ ഏറെ. പ്രസിഡന്റായതോടെ നിയമപുസ‌്‌തകങ്ങളടക്കം 87000 പുസ‌്തകങ്ങൾ അദ്ദേഹം ലൈബ്രറിക്ക് സംഭാവന ചെയ്‌തു. സ്വന്തം പുസ്തകങ്ങൾ പുറത്താരും കൊണ്ടുപോകാതിരിക്കാൻ വേണ്ടിയായിരുന്നു ഇത‌്. മുഖർജിയുടെ പുസ‌്തകങ്ങൾ ഇന്നും ലൈബ്രറിക്ക‌് പുറത്ത് പോകില്ല.
എൻസൈക്ലോപീഡിയയും സർവവേദങ്ങളും നിഘണ്ടുക്കളും അമൂല്യവും അപൂർവവുമായ സാഹിത്യഗ്രന്ഥങ്ങളും മുഖർജി നൽകിയ ശേഖരത്തിലുണ്ട്. ചില ഗ്രന്ഥങ്ങൾക്ക‌് പത്തുകിലോഗ്രാം വരെ ഭാരം. ഗുട്ടൻ ബർഗിന്റെ ഒരു പുസ‌്തകം അലമാരയിൽ നിന്ന് എടുക്കാൻ രണ്ടാൾ സഹായം വേണം. അത്രയ‌്ക്കും വലിപ്പവും ഭാരവും. അക്കാലത്ത‌് വിദേശീയ എഴുത്തുകാരും പ്രസാധകരും പുസ‌്തകം പ്രസിദ്ധീകരിച്ചാലുടൻ ഒരു കോപ്പി മുഖർജിക്ക് അയച്ചുകൊടുത്തിരുന്നത്രെ. മുഖർജിയുടെ ഗ്രന്ഥങ്ങൾ സൂക്ഷിക്കാൻ ഒരു പ്രത്യേക മുറി തന്നെയുണ്ട്. അവയുടെ ഫോട്ടോ എടുക്കാൻ പോലും അനുവാദമില്ല. ഭവാനിപുർ സിറ്റിയിലെ അശുതോഷ് മുഖർജി റോഡിന്റെ ഓരത്തുള്ള മുഖർജിയുടെ മൂന്നുനിലവീടും മ്യൂസിയമാണിന്ന‌്. അതിനകത്തുമുണ്ട്, പുസ്തകങ്ങളുടെ ഒരു വലിയ ശേഖരം.


വെല്ലം എന്ന അത്ഭുതം

നാഷണൽ ലൈബ്രറിയിലെ അഷുതോഷ് മുഖർജി ഗ്രന്ഥ ശേഖരത്തിനിടയിൽ സൂക്ഷിച്ചിരിക്കുന്ന ഒരു അപൂർവ വസ്തുവാണ് വെല്ലം. പശുവിന്റെ ഗർഭസ്ഥ ശിശുവിന്റെ തൊലികൊണ്ടുണ്ടാക്കിയ ഒരു തരം കടലാസാണിത്. ചില്ലുകൂടുകളുടെ സുരക്ഷിത‌ത്വത്തിലുള്ള ഇതിൽ ബംഗാളി ഭാഷയിൽ എന്തോ എഴുതിയിരിക്കുന്നു. സ്വാതന്ത്ര്യലബ്ധിക്ക‌ുശേഷമാണ‌് ഇംപീരിയൽ ലൈബ്രറി നാഷണൽ ലൈബ്രറി ആയത‌്. 1953ൽ ഫെബ്രുവരി ഒന്നിന് മൗലാനാ അബ്ദുൾ കലാം ആസാദ‌് നാഷണൽ ലൈബ്രറി പൊതുജനങ്ങൾക്കായി തുറന്നുകൊടുത്തു. അസമീസ്, ബംഗാളി, ഗുജറാത്തി, ഹിന്ദി, കന്നട, കശ‌്മീരി, മലയാളം, മറാഠി, ഒറിയ, പഞ്ചാബി, സംസ്കൃതം, സിന്ധി, തമിഴ്, തെലുഗു, ഉറുദു എന്നിവയിലേയും പാലിയും പ്രാകൃതും അടക്കമുള്ള പ്രാചീന ഭാഷകളിലെയും ഗ്രന്ഥങ്ങൾ ഇവിടെയുണ്ട‌്. എല്ലാ ഭാഷകളിലുമുള്ള ദിനപത്രങ്ങളും വാരികകളും ഇവിടെ സൂക്ഷിക്കുന്നുണ്ട്. ചൈനീസ്, ജാപ്പനീസ്, ടിബറ്റൻ, കൊറിയൻ, തായ്, നേപ്പാളി, ജർമൻ, ഡച്ച്, നോർവീജിയൻ, സ്വീഡിഷ്, ഫ്രഞ്ച്, റൊമാനിയൻ, ഇറ്റാലിയൻ, സ്പാനിഷ്, റഷ്യൻ ഹീബ്രു, അംഹാരിക‌്, പേർഷ്യൻ, അറബ് എന്നീ ഭാഷകളിലുള്ള പുസ‌്തകങ്ങളും ഈ പുസ‌്‌തകസാഗരത്തിലുണ്ട‌്.

നാഷണൽ ലൈബ്രറിയിലെ മലയാളവിഭാഗം 1963ൽ ആണ് തുടങ്ങിയത്. അന്ന് അയ്യായിരം പുസ്തകങ്ങളാണ് ഉണ്ടായിരുന്നതെങ്കിൽ ഇന്നത് അമ്പതിനായിരത്തിലധികം. ചില അപൂർവഗ്രന്ഥങ്ങൾ പ്രത്യേകമായിത്തന്നെ സൂക്ഷിച്ചിട്ടുണ്ട്. 1781ൽ പ്രസീദ്ധീകരിച്ച ‘സെന്റം അഡാഗിയ മലബാറിക്ക’യാണ് അവയിലൊന്ന്. മലയാളത്തിലെ ആദ്യ പഴഞ്ചൊല്ല് സമാഹാരമായ ഇതിൽ നൂറിലേറെ മലയാളം പഴഞ്ചൊല്ലുകളും ലാറ്റിൻ പരിഭാഷയുമാണുള്ളത്. സമ്പാദകൻ പൗളിനോ ബാർത്തലോമിയോ (പൗളിനോസ് പാതിരി). 1799ൽ പ്രസിദ്ധീകരിച്ച, റോബർട്ട് ഡ്രമൻസിന്റെ Grammar of the Malayalam Language, 1872ൽ പ്രസിദ്ധീകരിച്ച ഡോ. ഗുണ്ടർട്ടിന്റെ മലയാളം, ഇംഗ്ലീഷ് ഡിക‌്ഷണറി, പാറമേക്കാവിൽ റോമാക്കത്തനാരുടെ ‘വർത്തമാനപുസ്തകം’, കുന്ദലത, ഇന്ദുലേഖ, നിരണം കൃതികൾ, കൃഷ്ണഗാഥ, വടക്കൻപാട്ടുകൾ, അധ്യാത്മരാമായണം, രാമപുരത്ത് വാര്യരുടെ കുചേല വൃത്തം, കുഞ്ചൻ നമ്പ്യാരുടെ തുള്ളൽ കൃതികൾ എന്നിവ മറ്റുചിലത‌്.
സെൻട്രൽ റഫറൻസ് ലൈബ്രറിക്ക് പതിനാല് ഭാഷാ വിഭാഗങ്ങളും ഇൻഡക്‌സ‌് ഇന്റ്യാനാ യൂണിറ്റുമുണ്ട്. ഇരുപത്തിയാറ് ലക്ഷം പുസ്തകങ്ങളാണ് മൊത്തം. 4700 മോണോഗ്രാഫുകൾ, 3200 കൈയെഴുത്ത് പ്രതികൾ 1500 മൈക്രോഫിലിംസ്, 8600 മാപ്പുകൾ, ആയിരക്കണക്കിൽ താളിയോലകൾ എന്നിവ ലൈബ്രറിയെ സമ്പന്നമാക്കുന്നു. 45 കിലോമീറ്ററിൽ പരന്നുകിടക്കുന്നു അലമാരകൾ. വായനയ്ക്കായി പ്രത്യേകമായി ഒരുക്കിയ ഭാഷാഭവൻ 550 വിദ്യാർഥികൾക്ക് ഒരേസമയം ഉപയോഗിക്കാം.

ബുക്ക‌് ക്ലിനിക്‌

ലൈബ്രറിയിലെ ഒരു അപൂർവതയാണ‌് ബുക്ക‌് ക്ലിനിക്ക‌്. പുസ‌്തകങ്ങൾക്കും ക്ഷതമേൽക്കാനും രോഗം വരാനും നാശം വരാനും സാധ്യതയുണ്ട‌്. മനുഷ്യനെയും മൃഗത്തെയും സസ്യത്തെയും ചികിത്സിച്ച് പുനരുജ്ജീവിപ്പിക്കുന്നതുപോലെ നാശം വന്ന കടലാസിനെയും പുനരുജ്ജീവിപ്പിക്കാം എന്നതിന്റെ സാക്ഷ്യപ്പെടുത്തലാണ് ബുക്ക് ക്ലിനിക്ക്. മരുന്നുകളും ചികിത്സയ്ക്കാവശ്യമായ മറ്റ് വസ്തുക്കളും ഉപകരണങ്ങളും ബുക്ക് ക്ലിനിക്കിലുണ്ട്. വർഷങ്ങൾ പഴക്കമുള്ളതും മൂല്യവത്തായതുമായ ഗ്രന്ഥങ്ങളെ ചികിത്സിച്ച് രക്ഷിക്കും ഈ ക്ലിനിക്ക്. കടലാസിൽ അമ്ലാംശം കൂടുതലായതാണ് ഗ്രന്ഥനാശത്തിന് കാരണം. സൂക്ഷ‌്മാണുക്കളുടെ ആക്രമണം നിമിത്തവുമാകാം. കടലാസിന്റെ അമ്ലാംശം മാറ്റിയെടുക്കുകയാണ് ഒരു ചികിത്സാ രീതി. ഇതിന് ദ്രവരൂപത്തിലുള്ള നൈട്രജൻ പോലുള്ള രാസപദാർഥങ്ങൾ ഉപയോഗിക്കുന്നു. കീടാണുക്കളെ ഇല്ലാതാക്കാനും മരുന്നുണ്ട‌്.
15–-16 ഡിഗ്രി താപനിലയിൽ പുസ്തകങ്ങളെ അണുവിമുക്തമാക്കാനുള്ള ‘ഫ്രീസ് ഡ്രയർ’ എന്ന ഉപകരണം കടലാസിനെ പരമാവധി തണുപ്പിക്കുകയും ഉടൻ തന്നെ ഉണക്കിയെടുക്കുകയം ചെയ്യുന്നു. പിന്നീടത് ലാമിനേറ്റ് ചെയ്യും. താളിയോലകൾക്ക‌് ഇതേ ചികിത്സ. ലാമിനേഷൻ അമ്പത് വർഷത്തിലേറെ നിലനിൽക്കും. കേടുവന്ന പേജുകൾ ‘കോക്കൂണി’നകത്ത് വയ്ക്കുന്ന രീതിയുമുണ്ട്. ഈ ആശുപത്രിയിൽ ജീവനക്കാർക്ക് നമ്മുടെ സാധാരണ ആശുപത്രിയിലെതെന്നതുപോലെ എന്നും തിരക്കാണ്. രോഗികളായ പുസ്തകങ്ങളും താളിയോലകളും സദാ ചികിത്സ തേടിവന്നു കൊണ്ടേയിരിക്കും.

പീഡനമുറിയോ നിധിപ്പുരയോ

കൊൽക്കത്ത നാഷണൽ ലൈബ്രറിയെ സംബന്ധിച്ച‌് ചില അത്ഭുതകഥകൾ അവിടുത്തെ ജനങ്ങൾക്കിടയിലുണ്ട്. ലൈബ്രറിയുടെ ഉടമസ്ഥാവകാശം ഇന്ത്യൻ സാംസ്കാരിക വകുപ്പിനാണ‌്. 2010ൽ അറ്റകുറ്റപണികൾക്കും വാസ്തുശിൽപ്പ ഗവേഷണങ്ങൾക്കുമായി ആർക്കിയോളജിക്കൽ സർവേ ഓഫ് ഇന്ത്യ(എഎസ‌്ഐ)യുടെ സഹായം തേടി. ഗവേഷണങ്ങൾക്കിടയിൽ ആയിരം ചതുരശ്ര അടി വിസ്തീർണമുള്ള ഒരു മുറി കണ്ടെത്തി. ഭൂനിരപ്പിലുള്ള നിലയിലെ ഈ മുറിക്ക് വാതിലുകളോ മാർഗങ്ങളോ കണ്ടെത്താനായില്ല. ഒന്നുകിൽ പീഡനമുറി ആകാം. അല്ലെങ്കിൽ നിധി സൂക്ഷിക്കാനുപയോഗിച്ചതാവാം. ഈ മുറിയുടെ ചുമരിൽ ഒരു സുഷിരം ഉണ്ടാക്കാൻ എഎസ‌്ഐ തീരുമാനിച്ചു. അവർക്ക് തോന്നിയത് ഈ മുറി വാസ്തുശിൽപ്പപരമായ അത്ഭുതം മാത്രമാണെന്നാണ്. ഇതുവരെ രഹസ്യം ആർക്കും മനസ്സിലായിട്ടില്ല. മുറി ഇന്നും അതേ സ്ഥിതിയിൽത്തന്നെ.
പണ്ടത്തെ ഗവർണറുടെ ഭാര്യയുടെ കാലൊച്ച അർധരാത്രിയിൽ ഇപ്പോഴും കേൾക്കാമെന്ന് ചില കാവൽക്കാർ പറയുന്നു. ഇതുമാത്രമല്ല, ഈ കെട്ടിടത്തിന്റെ അറ്റകുറ്റപ്പണിക്കിടെ പന്ത്രണ്ടോളം തൊഴിലാളികൾ കാരണമൊന്നും കൂടാതെ മരിച്ചെന്നും ഗവേഷണ വിദ്യാർഥികൾ പുസ്തകങ്ങൾ പരതുന്നതിനിടയിൽ പെട്ടെന്ന് മരിച്ചുപോയെന്നും ഏതോ കറുത്ത നിഴലുകൾ കൺമുന്നിലൂടെ നടന്ന് മറയുന്നത് കാണാറുണ്ടെന്നും കാവൽക്കാർ. അവർക്ക‌് ഇന്നും ഭയമാണ്. ഒരു വിദ്യാർഥി അവന്റെ ഗവേഷണം തീരുന്നതിന് മുമ്പ് മരിച്ചെന്നും അവൻ പലപ്പോഴായി ഗവേഷണം പൂർത്തീകരിക്കാനായി ഇവിടെ വരാറുണ്ടെന്നും ചിലർ വിശ്വസിക്കുന്നു.

Case for HSBC to move HQ to Hong Kong looks stronger than ever

A prediction: by the end of the next decade, HSBC will no longer be headquartered in the UK.
It is more than three years since Europe’s largest bank by assets completed a review of where it should base its global head office, which resulted in the lender sticking with London rather than moving to Hong Kong.
However, it would be wrong to interpret that decision as the last word on the matter. Several executives, past and present, have said they still expect the bank to move back to the place where the The Hong Kong and Shanghai Bank was founded in 1865. “It is in their DNA,” says one.
To be clear, the bank says “there are no discussions to review HSBC’s global headquarters and no plans to reopen the issue”.
And relocating to Hong Kong is not without its risks, especially at a time of trade tensions between China and the US. Many residents in the autonomous region fear that the Communist Party will eventually impose its command-and-control model, which would pose unique challenges for HSBC.
But the rationale for redomiciling is stronger today than it was in 2015, when HSBC kicked off a review of whether London was the right place for its headquarters. Back then, Asia accounted for 84 per cent of profits. By last year, that figure was 90 per cent, and it will continue to rise as the bank invests in the region as part of its “pivot to Asia”.
Add to that the fact that the UK is set to leave the EU, hindering HSBC’s ability to serve its European clients from London, along with the spectre of a far-left Labour government, and the case for moving back to Hong Kong becomes stronger still.
Lower taxes could also boost HSBC’s profits: when the bank last considered relocating to Hong Kong, analysts estimated that this would result in $14bn of savings in subsequent years.
It makes little sense for a global bank focused on Asia to be run from the UK, not least for logistical reasons: the company’s top executives waste time travelling between the two regions, while the seven-hour time difference means managers in Hong Kong and China must sometimes wait for colleagues in London to wake up before decisions are approved.
In the Hong Kong Monetary Authority, HSBC would have a principal regulator that already knows the bank well. Although the watchdog would have to hire some additional staff if it were to become the bank’s primary supervisor, officials privately say the organisation could rise to the challenge with relative ease.
HSBC only moved its headquarters from Hong Kong to London in 1993 to smooth the way for its takeover of Midland Bank, part of a global dealmaking spree in the 1990s and early 2000s designed to lessen the bank’s reliance on Hong Kong.
But two of those deals proved disastrous: the takeover of Household Finance left the group badly exposed to the US subprime crisis; and the lender it bought in Mexico, Grupo Financiero Bital, was a bank of choice for the country’s drug cartels, resulting in a money-laundering scandal that threatened HSBC’s very existence.
Stuart Gulliver, chief executive between 2011 and 2018, recognised the error of HSBC’s international expansion and instituted the shift back to focus on Asia’s fast-growing economies. Today, the bank’s strategy sounds remarkably similar to the one it outlined in 1884, when its chairman told shareholders: “It [is] not advisable to extend the interests of the bank, however brilliant the prospects, to places which cannot be considered as being . . . of immediate importance to the trade of China.”
The bank’s current chairman, Mark Tucker, who has been in charge for 19 months, would be an ideal candidate to spearhead the move. He led the successful demerger of AIA, the Asian insurer, from its US parent AIG, before presiding over a dramatic increase in profits.
The move would also be made simpler by UK ringfencing regulations that were signed into law earlier this year, which forced HSBC and its rivals to separate their British operations from their global businesses. HSBC UK, now headquartered in Birmingham with its own management and board, is already a de facto standalone bank that could easily be hived off as a separate entity or run as a subsidiary from Hong Kong.
When HSBC announced the most-recent review of its headquarters on the eve of the 2015 general election, it put the bank at the centre of exactly the kind of political firestorm that the conflict-averse company tries so hard to avoid. Although the threat of quitting London resulted in a reduction of the size of the bank levy HSBC must pay to the UK Treasury, the public contest also irritated officials in Hong Kong and Beijing who felt spurned when the group stuck with London.
So next time round, investors should expect no such public review. Instead, HSBC could simply announce it is returning to Hong Kong, bringing down the curtain on a period that would eventually be seen as a brief anomaly in its 154-year history.

An interview with Amazon.com founder Jeff Bezos touches on the timeless lessons he’s learned for business success. The three big ideas are (1) thinking on a different timescale, (2) putting the customer first, and (3) inventing.
What we’re really focused on is thinking long-term, putting the customer at the center of our universe and inventing. Those are the three big ideas to think long-term because a lot of invention doesn’t work. If you’re going to invent, it means you’re going to experiment, you have to think long-term. These three ideas, customer-centricity, long-term thinking and a passion for invention, those go together. That’s how we do it and by the way, we have a lot of fun doing it that way.

Ballet or Rock Concert?

When asked about the pressures of running a public company and meeting quarterly earnings expectations he said:
Well, I think that if you’re straight forward and clear about the way that you’re going to operate, then you can operate in whatever way you choose. We don’t even take a position on whether our way is the right way, we just claim it’s our way, but Warren Buffet has a great saying along these lines. He says, “You can hold a ballet and that can be successful and you can hold a rock concert and that can be successful. Just don’t hold a ballet and advertise it as a rock concert. You need to be clear with all of your stakeholders, with are you holding a ballet or are you holding a rock concert and then people get to self-select in.”

Big Things Start Small

While there is no one recipe that fits all, there are elements of what Amazon does that help.
[I]nside our culture, we understand that even though we have some big businesses, new businesses start out small. It would be very easy for say the person who runs a US books category to say, “Why are we doing these experiments with things? I mean that generated a tiny bit of revenue last year. Why don’t we instead, focus those resources and all that brain power on the books category, which is a big business for us?” Instead, that would be a natural thing to have happen, but instead inside Amazon, when a new business reaches some small milestone of sales, email messages go around and everybody’s giving virtual high fives for reaching that milestone. I think it’s because we know from our past experiences that big things start small. The biggest oak starts from an acorn and if you want to do anything new, you’ve got to be willing to let that acorn grow into a little sapling and then finally into a small tree and maybe one day it will be a big business on its own.

Well it means step by step ferociously and it’s the motto for Blue Origin. Basically you can’t skip steps, you have to put one foot in front of the other, things take time, there are no shortcuts but you want to do those steps with passion and ferocity.

Loving What You Do

Not every day is going to be fun and easy. That’s why they call it work.
I have a lot of passions and interests but one of them is at Amazon, the rate of change is so high and I love that. I love the pace of change. I love the fact that I get to work with these big, smart teams. The people I work with are so smart and they’re self-selected for loving to invent on behalf of customers.
It’s not, do I love every moment of every day? No, that’s why they call it work. There are things that I don’t enjoy, but if I’m really objective about it and I look at it, I’m so lucky to be working alongside all these passionate people and I love it. Why would I go sit on a beach?
